1. Introduction

We provide custom web development, mobile application development, UI/UX design, and related digital services ("Services"). The specific scope, deliverables, and timelines for any project will be outlined in a separate written proposal or Statement of Work (SOW).

3. User Obligations

You agree to provide accurate and timely information required for the project. You are responsible for all materials (e.g., text, images, branding) you provide and warrant that you have the legal right to use them.

4. Payment Terms

Fees for our Services will be detailed in your project proposal. Typically, projects require an upfront deposit, with subsequent payments tied to project milestones. All payments are due within 15 days of the invoice date. Late payments may result in project suspension and/or late fees.

5. Intellectual Property

Upon final payment, we grant you a perpetual, worldwide license to use the final delivered project code and design. We retain the right to use the project for our portfolio and marketing materials. Any third-party tools or licenses used will be subject to their own terms. We retain ownership of all preliminary work, concepts, and any code not part of the final deliverable.

6. Limitation of Liability

To the maximum extent permitted by law, Pragati Path Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of our Services. Our total liability for any claim arising out of these Terms or our Services is limited to the total amount you have paid us in the preceding six (6) months.

7. Termination

Either party may terminate a project agreement with 30 days' written notice. If you terminate the project, you agree to pay for all work completed up to the date of termination. We reserve the right to suspend or terminate services if you breach these Terms.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes will be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
